Referral Agreement
These terms govern our partner programme: you send us customers, and we pay you a share of what they pay us. Joining the programme means agreeing to them.
1. The offer
1.1 What earns commission. A referred customer who subscribes to the Managed plan. Referrals to Free or Pro do not earn commission on their own — but see 3.3.
1.2 The rate. 10% of the Managed plan fees the referred customer actually pays us — after their discount, and after any promotion that applies.
1.3 For how long. Twelve months from the customer's first Managed payment. After that, the customer stays ours and the commission ends.
1.4 What it is paid on. Fees we have actually received. Not list price, not invoiced amounts, not periods that were refunded.
1.5 New customers only. A referral is someone who was not already our customer. A current or former customer who enters a code, or arrives through a link, earns no commission — the introduction has to be yours to be paid for.
1.6 Your clients' discount. A customer you refer gets 10% off the Managed plan for their first twelve months. It is applied through your code; your link pre-fills the code, so a client who arrives either way gets it. The discount and your commission run from the same first payment, so both sides of the introduction are rewarded at once — and your commission is calculated on what your client actually pays.
1.7 One discount at a time. Your clients' discount does not stack with any other promotion we run. A customer entitled to both gets whichever is larger, and your commission is calculated on what they pay either way.
2. How referrals are tracked
2.1 You get a referral link and a referral code. A visitor who arrives through your link is tagged in their browser; a customer who enters your code at signup is tagged directly.
2.2 Attribution window. A visitor who arrives through your link and subscribes to Managed within 120 days is your referral. After 120 days the tag expires.
2.3 Code beats link. If someone arrived through one partner's link and entered a different partner's code, the code wins. Entering a code is a deliberate act; a tag is not.
2.4 Last link wins. Between links alone, the most recent one before signup takes the referral.
2.5 We decide attribution using our records, in good faith. If you think we have got one wrong, tell us within 30 days of the month's statement and we will look again.
3. When the commission starts, stops and reverses
3.1 Starts with the customer's first Managed payment.
3.2 Stops at the end of the twelfth month, or earlier if the customer leaves the Managed plan. If they leave part-way through a period they have paid for, you keep the commission on that period.
3.3 Upgrades count. A referral who starts on Free or Pro and moves to Managed within the 120-day window earns commission from the date of the upgrade, for twelve months from there. The window is long on purpose: plenty of stores run the software for a while before deciding they want the people, and that is still your introduction.
3.4 Reverses if the customer's payment is refunded or charged back. Any commission already paid on that period is deducted from your next payout.
4. Payment
4.1 Timing. Commission for a month is paid 90 days after the end of that month. This is deliberately later than the customer's own refund and dispute window, so that what we pay you is final rather than provisional. It also means your first payment arrives roughly four months after your first referral converts — we would rather you knew that now than discovered it then.
4.2 How. To the payment details in your partner account, in the currency shown on your statement. You are responsible for any fees your own bank or payment provider charges to receive it.
4.3 Statements. You can see your referrals, their status and what is owed in your partner account at any time.
4.4 Taxes. Commission is paid gross. You are responsible for declaring it and for any tax due on it in your own jurisdiction.
5. What you may and may not do
5.1 Be honest. Describe the product truthfully. Do not promise results, invent features, or quote prices other than the ones on our pricing page.
5.2 Be yourself. Do not present yourself as Re: Caffeinate, as our employee, or as an official representative. You are an independent partner and should say so where it matters.
5.3 Do not send unsolicited bulk messages to promote us, place your tag in someone's browser without them clicking your link, buy advertising on our brand name or trademarks as keywords, or refer a business you own or control. Any of these ends the agreement and forfeits unpaid commission.
5.4 Our name and logo. You may use them to say that you are a partner and to link to us, in the forms we provide and without altering them. That permission is revocable, ends with this agreement, and does not let you register anything containing our name.
5.5 What you see about your referrals. For each referral you see the date it converted, the code or link it came through, whether commission is accruing or has ended, and the amounts. You do not see the customer's name or store, their account status, or why commission ended — it may be that the twelve months ran out, that they changed plan, that a period was refunded, or that they left, and which of those it was is between them and us. Your audience's data is likewise yours: we do not receive it, and if you collect data to promote us, that is your responsibility under data protection law.
6. What we are to each other
6.1 A partner, not a link. We treat you as a partner who looks after the clients you bring: their first point of contact for questions before they sign, and their guide through getting set up. To do that well we train you — on the product, on how to talk to a store about it, and on how to support a client once they are live — and we keep you informed of changes before your clients hear about them.
6.2 What that does not include. Looking after a client never means access to their account, or to their customers' conversations and personal data. That stays between the client and us under the Data Processing Agreement; clause 5.5 applies. If a client needs something done inside their account, they ask us, and you can help them ask.
6.3 Independent. You are an independent partner. This agreement does not create employment, agency in the legal sense, partnership in the legal sense, or a joint venture. You cannot bind us, and we cannot bind you. You are not required to refer anyone, and we are not required to accept a referral that breaches these terms.
7. Ending it
7.1 By you, at any time, by telling us. Commission already earned is still paid on the normal schedule.
7.2 By us, at any time, on notice. Commission already earned is still paid — unless we end it for a breach of clause 5, in which case unpaid commission is forfeited.
7.3 After the agreement ends, stop using our name and logo and take down your referral links. Tags already in a visitor's browser expire naturally.
8. Changes
We may change these terms or the programme — including the rate and the window — on 30 days' notice to partners. Changes do not reduce commission already earned. Continuing to refer after a change takes effect is acceptance; if you do not accept it, end the agreement under 7.1 and earned commission is still paid.
9. General
We are not liable to you for lost commission arising from a referred customer cancelling, being refunded, or breaching our terms. Neither of us is liable for indirect loss. This agreement is governed by the law of England and Wales.
